5. Exclusivity
The Provider will not represent conflicting interests but may represent competing interests.

That’s a weird term for a contract of this type. They’re probably trying to contract around the non-compete law in your jurisdiction, which may generally favor employees/contractors. That is, many states prohibit non-compete clauses which place an undue restraint on trade, one’s ability to conduct business or to earn a living. But even in those states, it is permissible to contractually prohibit an employee from violating the duty of loyalty one owes his/her counterparty– thus, you cannot work for anyone whose interests actually conflict with your boss’.

Conflicting interests are those that pit two legitimate duties against one another. E.g., a lawyer cannot represent both the plaintiff and defendant in a lawsuit– those interests are hopelessly in conflict and a lawyer has a fiduciary duty to his client therefore he cannot represent another whose interests conflict with his client’s.

It’s sort of hard, however, to think of an interest which is merely competitive but not conflicting. You can work for a competitor (thus it steers clear of the anti-non-compete laws out there) but not someone whose interests are in conflict? All competitors’ interests are in conflict with your boss’! I don’t know. It must mean something. Maybe Richard knows. (Psst…I think Richard is an attorney!)
